Welcome to VarXiuS. These Terms of Service ("Terms") govern your access to and use of the VarXiuS platform, applications, and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Acceptance of Terms

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Services. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

2. Use of Services

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using the Services, you represent that you meet these requirements.

Account Registration

To access certain features, you must create an account. You agree to:

3. User Accounts

Your account is personal to you and may not be shared or transferred. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk to our platform or other users.

Account Types

VarXiuS offers different account types with varying features and limitations. The specific terms for your account type, including pricing and usage limits, are set forth in your subscription agreement or order form.

4. Intellectual Property

Our Intellectual Property

The Services, including all software, designs, text, graphics, logos, and other content, are owned by VarXiuS or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

Your Content

You retain ownership of any content you submit, post, or upload to the Services ("Your Content"). By submitting Your Content, you grant VarXiuS a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display Your Content solely to provide and improve the Services.

You represent and warrant that you have all necessary rights to Your Content and that it does not infringe any third-party rights or violate any laws.

Feedback

If you provide feedback, suggestions, or ideas about the Services, we may use them without any obligation or compensation to you.

5. Payment and Billing

Certain Services require payment. By subscribing to paid Services, you agree to pay all applicable fees as described in your subscription agreement. Fees are non-refundable except as expressly stated in these Terms or required by law.

  • Fees are billed in advance on a monthly or annual basis
  • You authorize us to charge your payment method for all fees
  • We may change pricing with 30 days' notice before your next billing cycle
  • Failure to pay may result in suspension or termination of Services

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VARXIUS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOU USE THE SERVICES AT YOUR OWN RISK.

8. Indemnification

You agree to indemnify, defend, and hold harmless VarXiuS and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services
  • Your violation of these Terms
  • Your Content
  • Your violation of any third-party rights

9. Termination

You may terminate your account at any time by contacting support or through your account settings. We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms.

Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitations of liability, and dispute resolution.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Services shall be resolved exclusively in the state or federal courts located in San Francisco County, California. You consent to the personal jurisdiction of such courts.

11. Dispute Resolution

Before filing any legal claim, you agree to attempt to resolve disputes informally by contacting us at legal@varxius.com. We will attempt to resolve the dispute within 60 days.

If informal resolution is unsuccessful, any dispute shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in court for intellectual property violations.

12. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and VarXiuS regarding the Services.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations freely.
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
